Overview

The Legal Administrator is responsible for handling a broad array of public reporting, governance, subsidiary management, and finance matters.

Responsibilities

  • Work with General Counsel and other executives to assist with Board and Committee presentations, preparing agendas, drafting minutes, and related documentation and organization of the same.
  • Maintain corporate minute books and other corporate records.
  • Prepare documentation required in connection with the formation, maintenance, and elimination of legal entities, including certificates of incorporation, bylaws, operating agreements, board and shareholder resolutions, director and officer changes, merger and dissolution certificates, powers of attorney, and qualifications to do business.
  • Maintain a third-party subsidiary management database.
  • File annual reports in states where legally required for each subsidiary in coordination with Janus’s registered agent.
  • Research state-specific filing requirements.
  • Coordinate legalizations, apostilles, and other certifications required for foreign jurisdictions.
  • Serve as primary interface with registered agents and other relevant vendors and service providers (i.e. CSC, etc.) on behalf of Janus and its affiliates.
  • Coordinate approvals and signatures of documents (including through DocuSign).
  • Respond to informational requests from businesses and other corporate functions.
  • Assist with the preparation and filing of SEC periodic reports such as Forms 10-K, 10-Q, and 8-K as well as other SEC reports (Workiva).
  • Prepare, process, and manage Section 16 filings for directors and officers in coordination with the General Counsel including updating passwords and obtaining filing codes. Maintain offline equity tracking spreadsheets.
  • Assist in the preparation and filing of documents with the NYSE.
  • Assist with corporate finance matters, including debt offerings, borrowings under credit facilities and

intercompany restructurings from time to time.

  • Review and process invoices; work with vendors and the internal accounts payable department to manage timely payments.
  • Assist with the creation, management, maintenance, and administration of training materials for business stakeholders.
  • Assist with other administrative functions in support of the legal department.
  • Manage existing legal technology solutions and identify and implement new solutions as required.
  • Manage expenses for General Counsel using Concur.
  • Assist in preparation of proxy statement and roll out of annual meeting.
  • Work on ad hoc projects with legal department and other areas as warranted.
  • Maintain insider trading and disclosure committee information.
  • Other duties as assigned.

Qualifications

JOB SPECIFICATIONS:

  • Bachelor’s Degree or Associate’s Degree with Paralegal Certification
  • Extensive prior work experience as a paralegal or legal assistant at a corporate in-house legal department or a law firm
  • Experience managing domestic and foreign subsidiary activities, corporate records, and public company disclosures.
  • Proficient computer software skills in Microsoft Word, PowerPoint, Excel, and Outlook
  • Knowledge of online entity management systems (e.g. Diligent Entities, Blueprint, etc.)
  • Previous use of computer software (Workiva, etc.) to make SEC filings via EDGAR is highly desirable.
  • Stellar organizational skills.
  • Exceptional attention to detail.
  • High degree of self-direction and motivation with good teamwork and interpersonal skills.
  • Superior verbal, written, and communication skills.
  • Results-driven and ability to prioritize workflow.
  • Ability to meet demanding deadlines in a fast-paced environment.

  • Ability to interact well with attorneys and business personnel throughout Janus and outside service providers.
  • Flexibility and willingness to pitch in on unexpected projects.
